1. Acceptance of Terms
By accessing or using https://jfhany.org (the “Site”) or by registering for a membership, you agree to be bound by these Terms of Use (“Terms”). If you do not agree, do not use the Site.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract. Business members must have authority to bind their business.
3. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@jfhany.org of any unauthorized use.
4. Membership
Membership is subject to the JFHANY Membership Terms. Member-only content, events, and directories are available only to active members in good standing.
5. Acceptable Use
You agree not to:
- Use the Site in violation of applicable law;
- Post content that is defamatory, harassing, hateful, infringing, or otherwise unlawful;
- Impersonate any person or misrepresent affiliation;
- Attempt to gain unauthorized access to any portion of the Site;
- Introduce malware or disrupt Site operation;
- Scrape, crawl, or otherwise harvest data without written consent.
6. User Content and Community Conduct (including Forum posts)
6.1 License to User Content
You retain ownership of content you submit. You grant JFHANY a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute such content in connection with operating the Site. You represent that you have the rights necessary to grant this license.
6.2 Expected Conduct
Members and other participants in JFHANY community spaces (including the member forum, comment sections, group chats, and JFHANY-hosted events) are expected to: (i) be respectful, even in disagreement; (ii) stay on topic relevant to the foodservice and hospitality industry, JFHANY activities, or member interests; (iii) protect the confidentiality of other members’ business information; and (iv) cite sources when sharing third-party content.
6.3 Prohibited Conduct
The following is strictly prohibited in all JFHANY community spaces:
- Harassment and discrimination: personal attacks, threats, harassment based on race, ethnicity, national origin, religion, gender, sexual orientation, age, disability, or any other protected characteristic; sexually explicit or unwanted advances; stalking; or doxxing.
- Spam and unauthorized promotion: unsolicited commercial messages, multi-level marketing, repetitive posting, or self-promotion not relevant to the community.
- Illegal or harmful content: content that violates U.S. federal, New York State, or applicable foreign law; infringes intellectual property; is defamatory or knowingly false; or promotes violence, self-harm, or illegal activities.
- Anti-competitive conduct: discussing or coordinating prices, pricing strategies, or pricing changes; allocating customers, markets, or territories among members; organizing boycotts; or sharing competitively sensitive information (current or future pricing, costs, capacity, customer lists, etc.) among competing members. If a discussion strays into any of these topics, end the discussion immediately and contact info@jfhany.org.
- Platform misuse: impersonation of JFHANY staff or other members; multiple accounts or shared credentials; unauthorized access attempts; malware or phishing; or scraping or republishing member content without permission.
6.4 Reporting and Moderation
If you believe content or a participant violates these rules, use the in-platform Report function (where available) or email info@jfhany.org with the URL of the content, the participant’s name, and a brief description of the issue. JFHANY may, at its sole discretion, issue a warning, remove or edit offending content, suspend posting privileges temporarily, or terminate community access and JFHANY membership in serious cases. JFHANY does not pre-screen all member content and is not responsible for content posted by participants. The presence of any content does not constitute endorsement by JFHANY.
6.5 Confidentiality of Discussions
Member-only community spaces are intended to be confidential among members. However, do not share information you wish to remain private — other participants may copy, screenshot, or repost content despite these rules. JFHANY is not liable for unauthorized re-disclosure by other participants.
7. Intellectual Property
All Site content (other than User Content) is owned by JFHANY or its licensors and is protected by U.S. and international intellectual property laws.
8. Third-Party Links
The Site may contain links to third-party websites. JFHANY does not endorse and is not responsible for third-party content or practices.
9. Disclaimers
The Site and member benefits are provided “as is” and “as available” without warranties of any kind, whether express or implied. JFHANY disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
Information published on the Site, including any expert directory, member directory, or sponsor listings, is provided for general informational purposes only and does not constitute legal, tax, financial, accounting, medical, or other professional advice. JFHANY does not endorse, recommend, or independently verify any expert, member, sponsor, or third party listed on the Site, and inclusion in any directory is not a recommendation, endorsement, or guarantee of qualification, accuracy, suitability, or quality of services. Any contact, engagement, retention, or transaction between you and an expert, member, sponsor, or third party listed on the Site is at your sole risk and responsibility, and JFHANY is not a party to, and bears no liability arising from, any such interaction or its outcome. You should consult a qualified professional before acting on information obtained through the Site or any community discussion.
10. Limitation of Liability
To the maximum extent permitted by law, JFHANY, its directors, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising from or related to your use of the Site, regardless of the legal theory. Our aggregate liability shall not exceed the fees you paid to JFHANY in the twelve (12) months preceding the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless JFHANY from claims arising out of your use of the Site or breach of these Terms.
12. Termination
We may suspend or terminate your access at any time for violation of these Terms or for any reason. Sections that by their nature should survive will survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York, except that JFHANY may seek injunctive relief in any competent jurisdiction.
14. Changes
We may revise these Terms from time to time. Material changes will be notified via the Site or email. Continued use after changes constitutes acceptance.
